Business Contact Privacy Notice

This Privacy Notice (the “Notice”) describes how Blue Owl Capital Inc. (collectively “Blue Owl Capital,” “us,” “we,” or “our”) will collect, use, share, and secure information regarding individuals who engage with us in a business capacity, such as persons working on behalf of our vendors and contractors (collectively, “Business Contacts”).

This Notice applies to information we collect or receive through both online and offline channels that identifies or could reasonably be used to identify you (“Personal Information”). We may also have collected your information in other contexts, such as in connection with our public facing websites or through other business activities. Those activities are governed by separate privacy notices provided at the time of collection or as otherwise required by law.

This Notice also does not apply to individuals or households interacting with us in a personal capacity. Finally, this Notice does not apply to anonymous or de-identified data that is not associated with a particular individual.

Personal Information We Collect or Receive

Depending on the nature of your business relationship with us, we may collect or receive information about you, such as the following:

Monitoring

We may monitor and record our communications with our Business Contacts when required by applicable law. We may also conduct monitoring, where permitted by law, to comply with regulatory obligations, to protect our business, our systems, and our facilities.

Sources of Personal Information

We may collect or receive Personal Information from the following categories of sources:

  • Directly from you, such as when you provide your information in connection with a business engagement, to manage our contractual relationship with you, or to access our systems or facilities;
  • Through information and communication systems, including through electronic communications such as e-mail and telephone and video calls;
  • From our vendors who provide services on our behalf;
  • From our affiliates and subsidiaries;
  • From our clients and business partners who provide information about you;
  • From publicly available sources; and
  • Through third parties, including credit agencies, official bodies (such as government authorities, regulators, or fraud prevention and detection organizations), or other sources.
Purposes for Using, Disclosing, and Otherwise Processing Personal Information

We may use, disclose, or otherwise process Personal Information for various purposes, including:

  • Conducting our business and managing our business relationships, including onboarding and maintaining relationships with our Business Contacts;
  • Authenticating and authorizing access to our systems and offices;
  • Communicating with you in connection with our business relationship, including by responding to your inquiries, providing updates, notices, disclosure materials, and information relevant to the services or engagement;
  • Administering meetings, office visits, and events;
  • Operating, evaluating, and improving our products, services, and business, including enhancing and analyzing our products and services; developing new products and services; managing our communications; analyzing our clients; performing data analytics; and performing accounting, auditing and other internal functions;
  • Complying with legal or regulatory requirements and our policies, including conducting anti-money laundering, “know your client,” sanctions, and other screenings; complying with requests from regulatory, governmental, tax, and law enforcement authorities; and meeting our audit and reporting obligations;
  • Securing our business, including preventing, detecting, and investigating fraud, financial crime, or other unlawful activity and protecting the security and integrity of our systems and facilities;
  • Evaluating or conducting a merger, divestiture, restructuring, reorganization, dissolution, or other sale of transfer of some or all of our business or assets;
  • Managing payments, fees, taxes and other charges; and
  • For any other purpose that you may authorize or direct, or that we may disclose, at the time we collect your information.
How We Share Personal Information

We may have shared Personal Information with the categories of third parties identified below, as reasonably necessary for the purposes described above. Recipients may include:

  • Our affiliates and subsidiaries;
  • Vendors who provide services on our behalf, including to help us support our business relationship with you and to support and administer investment-related activities;
  • Professional services organizations, such as auditors and law firms;
  • Third parties as reasonably necessary to protect the rights, property, or safety of Blue Owl Capital, our employees, and others; to comply with law or legal process; in response to requests from law enforcement or other government agencies; to secure or protect our services and Websites; to protect against fraud or other unlawful or harmful activity; and to enforce or apply our policies and agreements;
  • An actual or potential investor, buyer, successor, or other person or organization in the event of a corporate reorganization, such as an actual or potential merger, or a divestiture, dissolution, or sale or transfer of some or all of our business or assets, including as part of bankruptcy, liquidation, or similar proceeding;
  • Third parties for purposes consistent with the purposes described above; and
  • Any other parties as you may authorize or direct, or that we may disclose, when you provide your Personal Information.
Data Transfers

We may transfer Personal Information to recipients in countries other than the country in which the information was originally collected. Those countries may not maintain data protection laws that are similar to the laws of the country in which you reside. Where we transfer Personal Information outside of the United Kingdom, the European Economic Area (EEA), or other territories that impose data transfer restrictions, if we determine the purposes for processing that Personal Information then we will ensure that we have implemented appropriate safeguards, such as obtaining your consent or entering into data transfer agreements, designed to ensure that your Personal Information is protected as required under applicable data protection law.

Retention of Personal Information

Unless an applicable law dictates a different retention period, we retain Personal Information for as long as reasonably necessary to carry out the purposes described in this Notice. To establish appropriate data retention periods, we also take into account the nature and sensitivity Personal Information, statutory retention requirements, guidance from authorities and applicable limitation periods.

How We Protect Personal Information

We aim to protect Personal Information by implementing and maintaining reasonable and appropriate security, such as by using reasonable organizational, technical and physical safeguards appropriate to the sensitivity of the Personal Information we process.

Your Rights and Choices

We offer you certain choices in connection with the Personal Information we obtain. When the provision of Personal Information is necessary to offer you a product or service, your choice not to provide that information may affect our ability to provide you with the relevant products or services.

Marketing Communications

We will seek your consent for the processing of your Personal Information for direct marketing whenever such consent is mandated by applicable law.

You can tell us at any time not to send you marketing communications by email. You should click on the unsubscribe link in the emails you receive from us or by sending an “opt-out” request to the address included in the email.

Privacy Rights Provided by Applicable Law

Some jurisdictions provide additional privacy rights to residents. Residents of California should refer to our Notice for California Residents to learn more about their privacy rights. You may have the following rights in relation to Personal Information we collected or received in connection with your status as a Business Contact:

  • To request confirmation of whether we process Personal Information about you and, if so, to request a copy;
  • Where you are entitled to a copy of your Personal Information, you may request that we provide it in a machine-readable format;
  • To request that we correct or update your Personal Information that is inaccurate;
  • To request that we delete or erase your Personal Information in certain circumstances;
  • To request that we restrict our collection or processing of your Personal Information in certain circumstances;
  • To request more information about the third parties to whom we disclose your Personal Information;
  • To object to our processing of Personal Information on specific grounds relating to your particular situation; and
  • Where you consented to our processing of your Personal Information and we relied on that consent, you may withdraw your consent.

California Residents’ Right to Access

As a California Resident, you may request that we disclose certain information to you about our collection, use, and disclosure of your Personal Information during the applicable time period for your request. If we receive and confirm a verifiable consumer request from you pursuant to the “Exercising Rights” section below, we will disclose to you, depending on the scope of your request:

  • The categories of Personal Information we have collected about you.
  • The categories of sources for the Personal Information we collected about you.
  • Our business or commercial purpose for collecting Personal Information about you.
  • The categories of third parties to whom we disclosed your Personal Information.

You may request to receive a copy of your Personal Information in a portable and, if technically feasible, readily usable format that allows you to transmit your Personal Information to another person or entity.

California Residents’ Right to Deletion

You may request that we delete your Personal Information, subject to certain exceptions.

California Residents’ Right to Correct Inaccuracies

You may request that we correct Personal Information about you that is inaccurate. We will consider the nature of the Personal Information and the purposes of our processing when we address your request.

Only you, or an agent that you authorize to act on your behalf, may make a verifiable consumer request related to your Personal Information.

Your request must provide information sufficient to verify you are the person about whom we collected Personal Information. To verify your request, we may ask you to provide information such as your first and last name, address, email address, phone number, and any other information necessary to verify your identity. Your request must also include sufficient detail for us to properly understand, evaluate, and respond to it.

You may designate an authorized agent to submit requests on your behalf in certain circumstances. We may require additional information when requests are submitted through an authorized agent, such as by requiring the submission of signed written permission for the agent to act on your behalf and requiring you to verify your identity directly or directly confirm the authorized agent’s permission to act on your behalf.

We cannot respond to a request or provide you with Personal Information if we cannot verify your identity or authority to make the request and/or confirm the Personal Information relates to you. If we cannot fulfill, or are permitted to decline, your request then we will notify you or your authorized agent.

We do not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will notify you before you incur any fee. We reserve the right to either refuse to act on your request or charge you a reasonable fee to complete your request if it is excessive, repetitive, or manifestly unfounded.

Subject to certain exceptions, you have the right to not to be retaliated against for exercising the rights described above.

We Do Not Sell or Share Your Personal Information

In the preceding 12 months, we have not sold or “shared” (disclosed for cross-context behavioral advertising) Personal Information. We do not sell or share Personal Information, and we do not have actual knowledge that we sell or share Personal Information of consumers under 16 years of age.

Changes to this Notice

We reserve the right to update this Notice at any time. If we make changes, we will update the Notice’s effective date and proactively notify you when required by law. If we would like to use your previously collected Personal Information for purposes that are incompatible with the purposes we notified you about at the time of collection, where required by law, we will also seek your consent.
